Platform Terms governing access to and use of QpiAI Pro
Welcome to the Terms of Use ("Terms") for QpiAI Pro ("Platform"), an enterprise-grade, no-code / low-code AutoML and MLOps platform that enables organisations to build, train, evaluate, deploy, and monitor machine learning models at scale, owned and operated by QPIAI INDIA PRIVATE LIMITED, a company incorporated under the Companies Act, 2013, having its registered office at Mezzanine Floor, Northwest and Southwest Bays, HUB 1, SEZ Tower, Karle Town Center, Karle Infra Special Economic Zone, Nagavara Village, Venkateshapura, Bangalore North, Karnataka, India - 560045 (hereinafter referred to as "the Company", "QpiAI Pro", "we", "us", or "our"). These Terms govern the use of the Platform offered by the Company to its users.
Please read these Terms carefully before using the Platform. By using our Platform, you confirm that you accept these Terms and agree to comply with them. Your continued use of the Platform will constitute acceptance of these Terms, as revised from time to time. If you do not agree with these Terms, you must not access the Platform or avail any services from us. For the purposes of these Terms, "you" or "User" means any person who accesses, avails, or otherwise uses or intends to avail or use the Platform.
1. Competency to Contract
You represent and warrant that you are eligible to enter into a legally binding agreement and to be bound by these Terms. You will not access or use the Offerings if you are under the age of 18 (eighteen) or not competent to contract under the laws of India.
2. Services on Our Platform
The Company hereby permits you a non-exclusive right to access and use the Platform and avail the different features and services provided through the platform (collectively "Offerings"), subject to continued subscription by the Individual User or the Enterprise and compliance with these Terms. The Offerings are designed to support a wide range of users, from individual data scientists to large enterprise teams. The Offerings are made available in a tiered subscription model, each designed to address differing User needs and use cases:
2.1 Starter Version
An entry-level tier intended for individual data scientists, researchers, and students exploring QpiAI Pro on a limited or trial basis. Includes access to core AutoML features for basic model training and evaluation.
2.2 Professional Version
Intended for small to medium-sized teams requiring end-to-end MLOps capabilities. Provides enhanced model training, experiment tracking, collaborative workspaces, and integration with commonly used data sources and cloud storage platforms, enabling automation of repetitive ML workflows.
2.3 Business Version
Designed for growing enterprises requiring advanced AutoML, multi-user collaboration, custom model integrations, production-grade MLOps pipelines, and support for organisation-specific datasets and domain-adapted models.
2.4 Enterprise Version
Intended for large enterprises operating in regulated or compliance-intensive industries. Includes on-premises deployment options, custom SLAs, dedicated technical support, advanced security controls, and enterprise-grade integrations with existing data infrastructure. 3. Third-Party Services
The Platform enables you to integrate with or exchange user content with third-party services or applications, including cloud storage providers, database platforms, and enterprise data systems. You acknowledge that your use of any third-party service is governed by your agreement with the relevant third-party service provider, and not by these Terms.
You acknowledge that you are solely responsible for the authenticity, validity, and lawful use of any API keys, tokens, or credentials used to access or integrate with the Platform and its Offerings. The Platform does not verify the authenticity of such integrations and shall not be liable for any loss, damage, suspension, or termination arising from the use of invalid, unauthorised, expired, or unlawfully obtained access.
4. Compliance With Law, Security and Integrity
- You will ensure that you comply with all prevailing and applicable laws, rules and regulations, these Terms, and our Privacy Policy while accessing, availing, or using the Platform. The Company will not be liable in any manner whatsoever for any default by you in doing so.
- You will not use the Platform in a manner that could damage, disable, overburden, or impair our server or any network connected thereto, or interfere with any other person's use and enjoyment of the Platform.
- You will not attempt to gain unauthorised access to the Platform or its features, other user accounts, computing systems, or networks connected to any Company server in any manner, including through hacking, password mining, or any other means. You will not obtain or attempt to obtain any material or information through any means which is intentionally not made available through the Platform.
- The Platform is made available to you under contract for your own use, and you will not attempt to copy, reproduce, alter, modify, reverse engineer, or create derivatives of the software behind the Platform, or allow any third parties to do so.
- You will not create multiple or duplicitous accounts on the Platform. You are responsible for maintaining the confidentiality of your password and account, and for all activities that occur in your account, if any. You accept that all operations emanating from your device in relation to the Platform will be assumed to have been initiated by you.
- You agree to notify the Company immediately of any unauthorised use of your account or any other breach of security. The Company will not be liable for any loss or damage to you or any third person owing to negligent actions or failure on your part to comply with the requirement of these Terms or to inform the Company of any loss or theft of your device or any unauthorised access of your account within reasonable time.
- You will be liable for losses incurred by the Company or any other party due to a third party's use of your account, if any. You will not use any other person's account without the express permission of the account holder and the Company.
- The Company will follow best industry standards and make all reasonable efforts to ensure that any information that you provide to it in relation to the registration to the Platform is kept confidential, subject to Company's right to use the information for further communication.
- The Company will not be responsible for any disclosure or leakage of confidential information or loss or damage due to failure on your part to practice safe computing. Further, the Company will not be liable for the loss or damage to such information or data of the user arising as a result of an event or a series of related events that is beyond the control of the Company.
5. Customer Guidelines and Disclaimers
We will endeavour, by way of appropriate safeguards and protocols, to ensure that there are no defects or deficiencies in the Platform. However:
- The Platform and its features are provided on an "as is" and "as available" basis. We expressly disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, availability, performance consistency and reliability.
- The Platform is designed to support the development, training, evaluation, deployment, and monitoring of machine learning models. All outputs, predictions, and model inferences generated through the Platform are for informational and operational purposes and do not constitute professional advice. Any use of or reliance upon such outputs shall be at your own risk.
- You are solely and exclusively responsible for reviewing, verifying, evaluating, and validating all outputs, predictions, and inferences generated through the Platform, prior to relying upon, using, distributing, or publishing such outputs. You agree that you will not rely upon any model output without first independently verifying its accuracy, completeness, appropriateness, and suitability for your intended purpose.
- Given the probabilistic nature of machine learning and artificial intelligence, we do not guarantee that model outputs generated through the Platform will be free from error. The outputs generated by the Platform or the AI agents may contain factual errors, may misrepresent or mischaracterize information, may reflect biases present in training data, may include outdated or superseded information, may omit relevant information, may draw inappropriate inferences or conclusions, and may otherwise fail to meet your needs or expectations and/or the output may not be unique across users.
- Automated ML pipelines are generated and executed on the basis of user inputs, configurations, and data. The Company is not responsible for any unintended, unauthorised, or erroneous outcomes resulting from user-configured pipelines or models.
- Users are advised to segregate distinct ML projects and datasets into separate workspaces or projects, as combining unrelated data or tasks within a single project may increase the likelihood of inaccurate outputs, data contamination, or unintended model behaviour.
- The Platform may retain records of user interactions, model training histories, and experiment logs in the user's account in order to improve response relevance and support model reproducibility. Users may review and delete such stored records at any time through the Experiment History or Model Registry within their account.
- The Company does not guarantee any specific business outcomes, model performance thresholds, or ROI from the use of the Platform.
- Our Platform leverages third-party large language models and foundational AI models for certain features. We do not control or develop these foundational models and make no representations or warranties regarding their accuracy, behaviour, or performance. The Company disclaims all responsibility or liability for any errors, omissions, or defects arising from the performance of third-party AI models or compute infrastructure.
- The use of the Platform may be impacted by reasons beyond the reasonable control of the Company, including but not limited to hardware failures, software malfunctions, outages of third-party cloud providers, internet or network problems, acts of God, force majeure events, security breaches, regulatory compliance measures, or maintenance activities. The Company will not be responsible for any loss to the User resulting from such conditions.
- We are constantly undertaking research and development with regard to our Platform and we reserve the right to discontinue the Platform in accordance with the terms of the subscription agreement.
5.1 Notice and Consent for Data Collection
Prior to or at the time of registration, users are presented with a Consent Notice that describes all categories of personal data collected through the Platform, the purposes of processing, data sharing practices, and user rights. By completing registration and accepting these Terms, users acknowledge having received and read the Consent Notice. The Consent Notice governs all personal data collection activities on the Platform, including data collected through third-party integrations enabled by the user.
6. Lawful Basis for Data Processing
The Company processes your Personal Data only where a valid lawful basis exists in accordance with applicable Data Privacy Laws, including the Digital Personal Data Protection Act, 2023. The lawful bases relied upon by the Company include the following:
- Consent: Where you have provided free, specific, informed, and unambiguous consent for particular processing activities, including at the time of account registration or during integration setup.
- Contractual Necessity: Where processing is necessary for the performance of a contract to which you are a party, including for the provision, maintenance, and enhancement of the Platform and related services.
- Legal Obligation: Where processing is necessary for compliance with applicable laws, statutory obligations, regulatory requirements, or lawful orders of competent authorities.
- Legitimate Interests: Where processing is necessary for the purposes of the Company's legitimate business interests, including fraud prevention, security, and service improvement, provided that such interests are not overridden by your fundamental rights and freedoms.
Where consent constitutes the lawful basis for processing, the Company maintains auditable records of such consent. Further details regarding the manner in which your Personal Data is processed are set out in the Privacy Policy.
7. Representations, Warranties and Covenants
- The user is aware of and in compliance with all applicable laws and will continue to be compliant as long as the user is accessing, availing, or using the Platform.
- The user is under no contractual or other restrictions or obligations that are inconsistent with these Terms or that will interfere with the performance of its obligations under these Terms.
- The user understands that third-party partners with which the Company engages have no agency, affiliation, association, or connection of any manner whatsoever. Third-party service providers are not our employees, agents, or representatives.
- All information uploaded on, or conveyed by the user for usage of the Platform must be genuine and not misleading or intentionally disparaging.
- The user will not host, display, upload, modify, publish, transmit, or share any information through the Platform that: (a) is unlawful, harassing, threatening, invasive, libellous, defamatory, or that would otherwise violate applicable law; (b) contains nudity, obscenity, or sexually explicit content; (c) may disparage any ethnic, racial, sexual, or religious group or is otherwise abusive or inflammatory; (d) depicts or promulgates the use of drugs; (e) contains offensive language or images; (f) incites violence; (g) contains unsolicited promotions or advertising; (h) contains harmful viruses, trojan horses, denial-of-service attacks, or similar technology; (i) infringes a third party's intellectual property rights; or (j) belongs to another person that you have no right to.
- All inputs, datasets, and content you provide do not violate any applicable law or violate someone's intellectual property rights or privacy rights. You represent and warrant that you have all rights, licences, and permissions needed to provide input to our Platform, and you retain ownership rights in the inputs you provide.
8. Other Conditions
- Our Platform may contain links to third-party sites not operated by the Company. We have no control over, and assume no responsibility for, the content, privacy policy, terms of use, or practices of any third-party site.
- We reserve the right to update or modify these Terms at any time without prior notice. Your continued access to and use of the Platform following any such change constitutes your agreement to be bound by these Terms as updated or modified.
